These Fonetix Terms of Use (“Terms”) apply to all contracts between Fonetix, 5 impasse de Negreneys, 31200 Toulouse, France (“Fonetix”) and its customers (“Users”) to whom Fonetix provides Services (as defined below).</p>\n<p>1.2. These Terms govern each order document and order process conducted online, by email or through the application, as agreed between Fonetix and the User (each an “Order”). These Conditions must be incorporated into the contractual conditions of each order accepted.</p>\n<p>1.3. These Conditions also apply to future contracts concluded between Fonetix and the User without Fonetix being required to refer to them in each particular case. These Conditions are deemed to be confirmed by the User at the latest when the latter accesses the Services.</p>\n<p>1.4. These Conditions apply to the exclusion of any other. The deviating, contradictory or additional general conditions of sale of the User can only form part of an Order if and insofar as Fonetix has consented in writing to their application.1.5. Special agreements with the User in specific cases prevail over these Conditions when they are formulated in writing.1.6. When the terms “in writing”, “in written form” or their variations are used in these Conditions, it refers to the expression “in writing” used in Article 1365 of the French Civil Code. The electronic exchange of copies of documents signed by hand as well as those signed with a simple electronic signature (such as that provided for example by DocuSign or Adobe Sign) is considered sufficient. Except as expressly provided in these Terms, emails are not sufficient.1.7. All notices and statements made by the User to Fonetix, including but not limited to notices of termination or setting of deadlines, must be made at least in text form to be valid (for more than clarity: a simple e-mail is sufficient), unless otherwise stipulated in these Conditions.1.8. References to the application of legal provisions are made here only for the purpose of clarification. Therefore, the legal provisions apply even without this clarification, provided that they are not directly modified or expressly excluded in these Conditions.</p>\n<p> </p>\n<p>2. Free Services and Paid Services | Trial use2.1. Subject to the contractual conditions agreed in each Order, Fonetix grants the User access to its French pronunciation learning software. The Services may include one or more Fonetix products as described on the Fonetix website from time to time. The Services may be offered free of charge with limited functionality (“Free Services”) or against payment of a Fee (as defined below) with certain agreed upon functionality (“Paid Services”), as specified in the Order.2.2. Fonetix has the right to downgrade, limit or modify the Free Services at any time without notice. Subject to Clause 15, no warranty, indemnity, Maintenance or Support (as defined below) and availability obligation of Fonetix shall apply to the Free Services. The Free Services do not constitute a guarantee of the (future) functionalities of the Paid Services and the User must not make a purchase of Paid Services on the basis of these Free Services.2.3. Fonetix may grant the User, free of charge or for a reduced Fee, access to the Paid Services, as an evaluation version, for a period determined by Fonetix in its sole discretion (“Trial Use”). Fonetix has the right to downgrade, limit or modify the Services provided for Trial Use at any time without notice. Subject to Clause 14, no warranties, indemnities, Maintenance or Support and availability obligations of Fonetix shall apply to Trial Use. Fonetix has the right to immediately revoke or terminate any Trial Use at any time. Trial Use does not constitute a guarantee of the (future) functionalities of the product and the User must not make a purchase of Paid Services on the basis of these Free Services. Subject to the contractual conditions agreed in the Order, the Trial Use of the Services may end and will then automatically transform into Paid Services.2.4. Fonetix is entitled to use subcontractors, including third party software providers, for the performance of its obligations under any Order.</p>\n<p> </p>\n<p>3. User Account | Conclusion of an Order3.1. To be able to use the Services, the User is required to create a User Account by accepting these Conditions, entering certain personal information and defining a password of his choice in an online registration form provided by Fonetix (“User Account”). After submitting the duly completed registration form, the User will receive a confirmation email from Fonetix allowing the User to activate his User Account. By creating the User Account, a binding contract is concluded between the User and Fonetix, which authorizes the User to use the Free Services.3.2. If the User wishes to use certain Paid Services, he can place a corresponding Order with Fonetix via the User Account. The offers made by Fonetix for the Paid Services are non-binding. By placing an Order, the User makes an offer to conclude a contract with Fonetix. The ordering process includes the following steps: choosing an option, checking and/or correcting the choice, inserting the relevant data, selecting the means of payment and validating the Order by clicking on the order confirmation button. The User's offer only becomes irrevocable and forms a contract for both parties when Fonetix confirms acceptance of the offer in an email (“Order Confirmation”). The Order Confirmation also includes detailed information about the User's Order and an Order number.3.3. Fonetix will not retain the text of the contract (these Terms and the terms and conditions of the corresponding Order) after the conclusion of an Order. The text of the contract will then not be accessible to the User.</p>\n<p> </p>\n<p>4. Rights of Use | Use Restrictions4.1. Subject to the contractual terms of the Order, Fonetix grants the User, during the Free Term, the Initial Service Term and any Service Renewal Term (each as defined below), a right and license to use of the Services, non-exclusive, non-transferable and non-sublicensable, worldwide and solely for the purpose of private use by the User (“License”). The Services are offered in accordance with the corresponding description on the Fonetix website including the User onboarding process (if applicable) as well as the help center sections, in each case as updated from time to time. to another (“Documentation”).4.2. User is prohibited from (and shall not allow any third party to) directly or indirectly: (a) sublicense, sell, resell, transfer, assign, distribute, share, rent, make commercial use , subcontract, operate on a timeshare or bureau basis, or use in connection with the provision of software services or outsourcing services, or otherwise operate the Services; (b) copy the Services over any public or distributed network; (c) decompile, reverse engineer or even partially disassemble the Services, or attempt to discover any source code, object code or underlying structure, ideas, know-how or algorithms or other operational mechanisms of the Services, for all such cases , unless this is authorized by a mandatory legal provision or public order; (d) modify, adapt, translate or create derivative works from all or part of the Services (unless expressly authorized to do so by Fonetix or as part of the Services); (e) modify any proprietary rights notices appearing in the Services or their components; (f) use the Services in violation of any applicable laws and regulations (including any export laws and regulations, national security controls and regulations) or outside the scope of rights as defined in the Clause 3; (g) configure the Services to collect (i) any data defined as sensitive personal data or “special category of data” within the meaning of the EU General Data Protection Regulation (“GDPR”) or any law or applicable national data protection regulations; (ii) passwords or other identification data; (iii) payment data or other financial, biometric or genetic data; or (iv) data relating to a person under the age of sixteen (16) (collectively, “Prohibited Data”) ; or (h) use the Services to (i) store, upload or transmit infringing, defamatory or otherwise unlawful or tortious material, or malicious code or software; or (ii) engage in phishing, spamming, denial of service attacks, or any other fraudulent or criminally objectionable activity; (iii) interfere with or disrupt the integrity or performance of third party data processing systems, or the functionality or data they include; (iv) attempt to gain unauthorized access to the Services or Fonetix systems or networks; or (v) perform, or cause a third party to perform, penetration testing, vulnerability assessments or other security assessments.4.3. The User must not duplicate, process, distribute, share or use for public reproduction any content of the Services without the prior written consent of Fonetix, except as expressly permitted by the sharing options that may be integrated into the Services.4.4. User shall not export or re-export, directly or indirectly, the Services or technical data or any copy, parts or direct product thereof in violation of applicable laws and regulations.4.5. The User may only use the Services in accordance with the Documentation.4.6. Fonetix may monitor User's use of the Services and may prohibit and/or suspend any use of the Services that it deems to be in violation of this Clause 4. 5. Obligations of the User5.1. The User declares and warrants that he will only use the Services in full compliance with all applicable laws and regulations.5.2. The User is responsible for obtaining and maintaining all ancillary equipment and services necessary to log on, access or otherwise use the Services, including without limitation, modems, computer equipment (hardware), servers , software, operating systems and networks (collectively the “Equipment”) at its own expense. Fonetix's current Equipment requirements (as amended from time to time) can be viewed on the Fonetix website.5.3. User is also responsible for maintaining the security of the Equipment, User Account, passwords (including but not limited to User passwords), files and all uses of the User Account or the Equipment, whether or not the User knows it. The User must not share any password or access code with unauthorized third parties.5.4. User is solely responsible for the content of all data and other content posted, posted, uploaded, stored, exchanged or transmitted by User on or through the Services (“Content”). Fonetix cannot control the information submitted by the User when using the Services and cannot guarantee the accuracy of the information submitted to it. Fonetix may, without notice and without liability, investigate any complaint or alleged breach of the Order of which it becomes aware and may take any action it deems appropriate, including, but not limited to, rejecting, refusal to post or the removal of any Content or any other data, or the restriction, suspension or termination of the User's access to the Services.5.5. The User must update and correct the information contained in his User Account. User shall promptly notify Fonetix of any unauthorized use of a password or account or any other known or suspected breach of security or any misuse of the Services.</p>\n<p> </p>\n<p>6. Maintenance and Support for Paid Services6.1. Subject to the payment by the User of the Fees, Fonetix will provide Maintenance and Support for the Paid Services to the extent indicated in the Order. “Support” is defined as Fonetix’s obligation to respond to User’s reasonable requests for assistance with the Paid Services by resolving issues and providing assistance. “Maintenance” means Fonetix's obligations with respect to the Paid Services for error resolution, bug fixing, implementing updates and enhancements generally made available by Fonetix in its sole discretion.6.2. Support is provided to User by email via bonjour@Fonetix.org or such other email address as Fonetix may provide from time to time listed on the Fonetix website.6.3. Fonetix undertakes to use reasonable efforts, consistent with applicable industry standards, to maintain the Paid Services in a manner that minimizes errors and interruptions to the Services. The User may report any errors to Fonetix via bonjour@Fonetix.org or such other email address as Fonetix may provide from time to time. Fonetix will use commercially reasonable efforts to timely correct any notified error, provided that (a) User provides Fonetix with a detailed description of the error and its reproducibility, and (b) based on the priority of the error as reasonably determined by Fonetix in its sole discretion.6.4. If Fonetix's analysis shows that an error notified by the User did not actually occur or is not attributable to the Paid Services, Fonetix may invoice the User for the costs obviously incurred by Fonetix in connection with this to analyse.6.5. Maintenance and Support costs are included in the Fees.</p>\n<p> </p>\n<p>7. Availability of Paid Services7.1. Subject to the payment by the User of the Fees, Fonetix makes available to the User the Paid Services in accordance with this clause 7.7.2. Fonetix undertakes to make reasonable efforts to make the Paid Services available to the User on the Internet, but at least at the rate of ninety-nine point five percent (99.5%) per calendar year ( on a twenty-four (24) hour per day, seven (7) day per week basis), excluding (a) any temporary unavailability for scheduled or unscheduled Maintenance work, whether by Fonetix or by third-party providers, and (b) any unavailability for reasons beyond Fonetix's reasonable control. Fonetix undertakes to make reasonable efforts to provide advance notice of any scheduled service interruption.7.3. The User is aware and acknowledges that the User's access to Paid Services such as Internet access cannot be guaranteed and that Fonetix cannot be held responsible for any failures in Internet connections or the user.</p>\n<p> </p>\n<p>8. Fee | Payment Terms | Limitation of the Right to set-off8.1. User shall pay Fonetix the Fees for Paid Services as set forth in the Order in accordance with the Terms therein (the “Fees”).8.2. Fonetix reserves the right to change the Fees for the next Service Renewal Term at least sixty (60) days prior to the end of the initial Service Term or prior to the end of the then-current Service Renewal Term.8.3. The User must pay the Fees using one of the payment methods offered on the Fonetix website.8.4. Fonetix generally invoices by means of an electronically transmitted invoice. In this case, full payment of the invoices must be received by Fonetix thirty (30) days after the date of dispatch of the invoice.8.5. Fonetix is entitled to suspend the User's access to the Paid Services in accordance with article 1217 of the French civil code, after having informed the User in writing (a simple e-mail is sufficient), if the payments are not received by Fonetix within fourteen (14) days of the due date.8.6. The User may only invoke a right to compensation insofar as his claims (a) have been definitively established by a court; (b) are undisputed; or (c) have been acknowledged by Fonetix.</p>\n<p> </p>\n<p>9. Duration | Termination9.1. Any Order begins on the date specified therein.9.2. Any Order for Free Services remains in effect for an indefinite period, unless terminated in accordance with the Order (“Free Term”). Fonetix or the User may at any time terminate an Order for Free Services for convenience, with immediate effect.9.3. Any Paid Services Order remains in effect for an initial term as set forth in the Order (“Initial Service Term”). The Initial Service Period will automatically and continually renew for additional periods as specified in the Order (“Service Renewal Period”), unless Fonetix or User terminates it with forty-eight (48) hours for Paid Services, in each case with effect at the end of the current period. User is not permitted to terminate a Paid Services Order for convenience with effect prior to the end of the Initial Service Term or any Service Renewal Term.9.4. The right of the parties to immediately terminate any Order for a legitimate reason remains unaffected. Such a legitimate reason exists in particular if (a) a party commits a serious breach of the Order and this breach has not been remedied within thirty (30) days of receipt of a written notification to this effect (a simple e-mail is sufficient); (b) the User is in default of payment for more than forty-five (45) days; (c) the User violates the restrictions of use set out in Article 4; or (d) the User ceases to pay his installments or suffers a significant deterioration in his financial situation.</p>\n<p> </p>\n<p>10. Limited Warranty for Paid Services10.1. The User has verified that the specification of the Services as described in the Documentation meets the User's needs and wishes. The User is aware of the essential functionalities and characteristics of the Services. The scope, nature and quality of the Services are determined by these Terms, the Order and the Documentation. Any other information or requirement only forms part of the Order if the User and Fonetix agree in writing or if Fonetix confirms it in writing. Product descriptions, illustrations, test programs, etc. do not constitute guarantees or agreements on certain specifications. To be valid, an agreement on a guarantee requires the written confirmation of a corporate officer of Fonetix.10.2. Fonetix warrants that the Paid Services will, in all material respects, conform to the functionality described in the then-current Documentation for the applicable version of the Paid Services. In the event of a breach of this warranty, Fonetix shall be obligated to use commercially reasonable efforts to modify the Paid Services to conform in all material respects to the Documentation, and if Fonetix is unable to materially restore such functionality within thirty (30) days from the date of written notice of such breach, User shall be entitled to terminate the Order upon written notice and receive a pro rata refund of the unused Fees that were paid to advance (if applicable) for unused access to Paid Services. User must notify Fonetix in writing of any breach of warranty and User must have installed and configured the Services in accordance with the Documentation to be eligible for the above remedy.10.3. Under no circumstances will the User be able to obtain the source code of the Services.</p>\n<p> </p>\n<p>10. Limited Warranty for Paid Services10.1. Fonetix and its suppliers are licensees and owners of all proprietary rights, including copyrights, database rights, patents, trade secrets, trademarks and all other intellectual property rights and technical solutions, related to the Services, including, but not limited to, any learning content and any didactic method. The User acknowledges that the rights granted under an Order do not confer any right of ownership on the Services.11.2. The User remains the owner of the rights relating to the User data and any content, as well as all data that is based on or derived from the User data and any content. The User grants Fonetix a non-exclusive, non-transferable right and license to use, which may be sub-licensed, for the whole world and without limitation in time, on the User's data and on any content directly related to the provision of Services. Fonetix is not responsible for User data and its content.11.3. Fonetix reserves the right to implement new versions and improvements to the Services, including but not limited to changes that result in changes in design, operating method, technical specifications, systems and other functions of the Services, at any time and without prior notice.</p>\n<p> </p>\n<p>12. Data Protection12.1. The User and Fonetix must at all times comply with the requirements of all applicable privacy and data protection legislation, including, but not limited to, the GDPR.12.2. The processing of personal data by Fonetix is described in more detail in Fonetix's privacy policy which can be viewed</p>\n<p> </p>\n<p>13. Indemnification13.1. Without prejudice to any other liability of the User provided for contractually or by legal or regulatory provisions, the User undertakes to defend, indemnify and guarantee from any liability, at its expense, Fonetix and its Affiliates, its employees, sub- contractors, suppliers and resellers against any third party claim to the extent that such claim arises out of or is made in connection with User's breach of Clause 4 or otherwise from User's use of the Services, and User agrees to pay all costs and damages awarded to Fonetix by the competent court as a result of such claim. “Affiliate” means any entity which controls, is controlled by, or is under common direct or indirect control of Fonetix as the case may be, or which is a wholly owned subsidiary of Fonetix respectively, “control” means possession, direct or indirect, of at least fifty-one percent (51%) of the equity securities or interests in an entity.13.2. In the context of any claim for compensation under this Clause 13, Fonetix must immediately inform the User of any action which it considers to be liable for compensation, it being understood however that the failure to inform does not does not release the User from its obligations under this Clause 13, except to the extent that such default substantially affects the User's rights of defense. Fonetix may, at its own expense, assist in the defense if it wishes, but User shall control the defense and all negotiations related to the settlement of such claim. Any such settlement intended to produce legal effects against Fonetix shall not be final without the written consent of Fonetix, which shall not be unreasonably withheld, conditioned or delayed.</p>\n<p> </p>\n<p>14. Limitation of Liability14.1. Fonetix is liable without restriction (a) for damage to life, body or health caused by Fonetix, its legal representatives or its agents; (b) damage caused intentionally or through gross negligence by Fonetix, its legal representatives or servants; (c) damage resulting from the lack of any warranted feature; and (d) claims falling within the scope of French product liability law.14.2. Fonetix is liable for damages resulting from a breach of its essential obligations under these Terms, whether the breach emanates from Fonetix, its legal representatives or its employees. The essential obligations are the basic obligations which constitute the essence of the Order and which the User can rely on. If the breach of these essential obligations is due to the simple negligence of Fonetix, its legal representatives or its employees, Fonetix's liability is limited to an amount of compensation corresponding to the foreseeable damage by Fonetix at the time of the execution of the Service. concerned.14.3. Subject always to Clauses 14.1 and 14.2, Fonetix is not liable for damages resulting from a breach of its non-essential obligations caused by the simple negligence of Fonetix, its legal representatives or its employees.14.4. Subject always to Clause 14.1, Fonetix's total liability arising out of or in connection with any Order, whether in contract, tort or otherwise, shall in no event exceed a sum equal to one hundred and fifty percent (150%) of the total Fees paid or to be paid by the User under the Order in question.14.7. Fonetix does not guarantee the progress of the User in learning a language or his actual learning of a language by using the Services.14.8. Any other liability of Fonetix not covered by this Clause 14 is substantially excluded.</p>\n<p> </p>\n<p>15. Notification of the Right of Withdrawal | Declaration of Immediate Execution15.1. The User has the following right of withdrawal:Notification of your right of withdrawalRight to retract You have the right to withdraw from this contract within fourteen (14) days without giving reasons. The withdrawal period expires after fourteen (14) days from the date of conclusion of the contract. To exercise your right of withdrawal, you must inform Fonetix (head office: 5 impasse de Negreneys - 31200 Toulouse, France, email: bonjour@Fonetix.org) of your decision to withdraw from this contract by an unequivocal declaration (by example, a letter sent by post, fax or e-mail). You can use this model withdrawal form. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired. Effects of withdrawal If you exercise your right of withdrawal in relation to this contract, we will reimburse you for all payments received from you, without undue delay and in any case no later than fourteen (14) days from the day on which we were informed of your decision to withdraw from this contract. We will make this refund using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any case, you will not have to bear any costs as a result of this reimbursement. End of the Notification of your Right of Withdrawal 15.2. The User expressly accepts that Fonetix begins the execution of the contract before the end of the withdrawal period provided for in Clause 15.1. The User acknowledges that by giving his consent, he will lose the right to withdraw from the contract as soon as Fonetix has started to perform this contract.</p>\n<p> </p>\n<p>16. Computer Security16.1. The User ensures that the identifiers and passwords obtained when registering for the Services are stored and used in a secure manner and cannot be consulted and therefore used by third parties. The User is responsible for any unauthorized use of the Services.16.2. When it is suspected that an unauthorized person has become aware of the username and/or password of the User, the User immediately informs Fonetix and modifies his username and/or password.16.3. The User is liable for any loss or damage suffered by Fonetix when the User intentionally or negligently discloses his username/password to a third party or when his identity and password are known in any other way by an unauthorized person. authorized, unless the User informs Fonetix immediately in case of suspicion that such an event has occurred.16.4. At the request of Fonetix, the User must enter into a novative contract with a third party as soon as possible for any Order in order to allow Fonetix to exercise its rights in accordance with Clause 17.1.17.3. User may not assign any of its rights or obligations under an Order and these Terms without the prior written consent of Fonetix.</p>\n<p> </p>\n<p>18. Entirety | Divisibility | Changes | Revision18.1. The Order, including these Terms, represents the entire agreement between User and Fonetix with respect to its subject matter and supersedes all prior negotiations and agreements between the parties having the same subject matter, whether they are written or oral.18.2. If any provision of the Order, including these Terms, is or becomes ineffective or invalid in whole or in part, the effectiveness and validity of the remaining provisions shall not be affected. This ineffective or invalid provision will be replaced by a stipulation that comes as close as possible to what the parties would have agreed, in accordance with the meaning and purpose of the disputed original stipulation and the Order. When the ineffectiveness or invalidity of a provision is assessed in relation to a certain level of execution or a certain deadline (deadline or fixed date), this level or this ineffective or zero deadline is replaced by the level or the deadline which comes as close as possible, from a legal point of view, to the initial level or deadline. The foregoing also applies to any possible omission in the Order, including these Conditions, which was not intended by the parties.
